AOS External Contributor License Agreement

This agreement is adapted as a permissive license-grant agreement in the style of the Apache Software Foundation Individual Contributor License Agreement. It does not transfer copyright.

The Project Steward authorized to accept contributions for this project is:

The Project Steward publishes its current contact and legal-notice instructions, agreement status, and designated acceptance mechanism through the canonical frontend at https://cla.andyl.org/aos. This agreement may be accepted only while that frontend identifies this version as active. The frontend need not expose a mailbox or mailing address in this repository.

“Project” means the AOS repository and the software and documentation it distributes. This agreement is for external individual contributors. Current Andyl, Inc. employees contributing within the scope of their employment are covered by Andyl's standard Confidential Information and Invention Assignment Agreement (CIAA) and internal contribution authorization, and do not accept this agreement. Contractors, former employees, and contributions outside an employee's authorized scope are external contributions for this policy.

By signing or otherwise accepting this agreement through a mechanism designated by the Project Steward, You agree to the following terms for Your Contributions.

  1. Definitions. “You” means the individual accepting this agreement. “Contribution” means an original work of authorship, including modifications or additions to existing work, intentionally submitted by You to the Project Steward for inclusion in the Project. Communication clearly marked “Not a Contribution” is excluded.

  2. Copyright ownership. You retain ownership of Your Contribution. Nothing in this agreement assigns Your copyright to the Project Steward.

  3. Copyright license. You grant the Project Steward and recipients of software distributed by the Project a perpetual, worldwide, non-exclusive, irrevocable, royalty-free copyright license to reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute Your Contribution and derivative works of it. The Project Steward may distribute the Contribution under the license applicable to the files or component to which it is contributed, including any expressly documented alternative or dual-license option for that component.

  4. Patent license. You grant the Project Steward and recipients of software distributed by the Project a perpetual, worldwide, non-exclusive, irrevocable (except as stated in this section), royalty-free patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer the Contribution, where the license applies only to patent claims licensable by You that are necessarily infringed by Your Contribution alone or by its combination with the Project to which it was submitted. If You institute patent litigation alleging that the Contribution or such a combination is direct or contributory patent infringement, patent licenses granted by You under this agreement for that Contribution terminate as of the filing date.

  5. Authority and originality. You represent that You are legally entitled to grant these licenses. If an employer or other party has rights in work You create, You represent that You have received permission to contribute it, or that the owner has waived or assigned those rights as needed. You represent that each Contribution is Your original creation except for material that You conspicuously identify with its source and license.

  6. Third-party material. You must identify any material that is not Your original creation, including its source and applicable license. This agreement grants no rights in third-party material beyond rights You may lawfully grant.

  7. Support and warranty. You are not expected to provide support. Unless required by law or agreed in writing, You provide Contributions “AS IS,” without warranties or conditions of any kind.

  8. Notice. You agree to notify the Project Steward if You later learn that a representation in this agreement was inaccurate when made.

#Administration

The Project Steward must retain each acceptance privately with the contributor's legal name, email and contact address; authenticated stable GitHub user ID and current login; UTC acceptance time; agreement version; exact agreement content digest and an archived copy of that text; evidence of unambiguous assent or signature; unique record identifier; and active, superseded, or disabled status for future contributions. A record-status change does not alter licenses already granted under this agreement. Acceptance records must not be committed to the public repository. Legal counsel must approve this agreement and the acceptance process before the Project Steward begins relying on acceptances.
